CARRIER INFORMATION

1. OBLIGATIONS OF DISPATCHER

ON THE ROAD Dispatching LLC ("Dispatcher") agrees to:

• Assist with freight search, rate negotiation, booking, and administration coordination as requested by client
• Act as Client's non-exclusive administrative representative
• Locate freight matching Client's preferences
• Submit Client credentials to brokers/shippers upon approval
• Handle invoicing for an agreed-upon fee
• Bear no financial or legal responsibility for shipper–carrier transactions
• Not monitor Client's hours-of-service compliance

2. OBLIGATIONS OF CLIENT/CARRIER

The Client/Carrier agrees to:

• Authorize Dispatcher to sign rate confirmations and related documents
• Pay Dispatcher for services rendered
• Provide and maintain its own equipment
• Maintain required insurance coverage:
  • Cargo: $100,000
  • Auto Liability: $1,000,000
  • Combined BI/PD: $1,000,000
• Provide Worker's Compensation (if applicable)
• Handle all employment-related taxes and wages
• Hold Dispatcher harmless from injury, death, or equipment-related liability
• Ensure safety and DOT compliance
• Accept liability for freight loss or damage
• Maintain full control over equipment operations
• Comply with all federal, state, and local laws
• Acknowledge Dispatcher is not a broker
• Accept non-exclusive nature of this agreement
• Accept notices via email, personal delivery, or certified mail
• Accept severability of invalid provisions
• Accept this as the entire agreement
• Accept termination terms (Either party may terminate this Agreement with seven (7) days written notice. Dispatcher shall be entitled to payment for all services rendered prior to termination. Immediate termination may occur in the event of breach, insolvency, or illegal activity.)

Dispatcher shall only sign rate confirmations upon Client's approval and shall not be responsible for load terms negotiated by the Carrier.

3. REQUIRED DOCUMENTS

• MC Authority Letter
• Certificate of Liability Insurance
• W-9
• Carrier Profile (may be required)
• Copy of Driver's License (may be required)

4. PAYMENT TERMS

Dispatch Fee (% or flat rate): Dispatch fee of eight percent (8%) per load. Payment is due immediately upon load delivery or within twenty-four (24) hours of receipt of broker payment, whichever occurs first. Late payments may result in suspension of services.

Client agrees not to solicit or conduct direct business with brokers or shippers introduced by Dispatcher during the term of this Agreement and for ninety (90) days following termination.

This Agreement shall be governed by the laws of the state in which ON THE ROAD Dispatching LLC is registered. Any disputes shall be resolved through mediation or arbitration prior to litigation.
